These Terms of Service (the "Terms") are an agreement between you and Utiliko Corporation, a Delaware corporation ("Utiliko," "we," "us"). They apply when you use utiliko.ai, Utiliko's trial signup page at https://utiliko.io/free-trial/ (the "Signup Page"), a Utiliko trial, or a Utiliko demo (together, the "Services"). By checking the Terms box at signup, or by using the Services, you agree to these Terms. If you use the Services for a company, you confirm you are authorized to accept these Terms for it, and "you" includes that company.
The Services are for business use. You must be at least 18 and use the Services for business, not personal or household, purposes. The Services are not directed to children under 13.
2.1 Which terms apply. If you buy a paid plan in the Services or on our website (a "Self-Serve Plan"), these Terms and our Self-Serve Subscription Terms at https://utiliko.ai/legal-subscription-terms (the "Subscription Terms") apply. If you sign an order form, Utiliko's Annual Client Subscription Agreement and that order form (the "Subscription Agreement") apply and control over these Terms and the Subscription Terms if they conflict.
2.2 Prices. Prices are shown on our pricing page at https://utiliko.ai/pricing and in your account before you pay. They are in US dollars and exclude taxes. The price shown in your account when you subscribe applies to your current monthly or annual term.
2.3 Price changes. We may change prices for future terms. We will email you at least 60 days before a price change takes effect at your renewal, and you may cancel before then. Where the law requires, we will also send a reminder 7 to 30 days before the change.
2.4 Different prices. We may offer different prices, discounts, or promotions at different times or to different customers. A price offered to one account or at one time does not apply to other accounts or other times, except as stated in your order or account.
2.5 Billing. Utiliko invoices and collects all fees directly through its own billing system. Utiliko partners do not invoice or collect fees for the Utiliko subscription. Billing questions go to [email protected].
Give accurate information and keep it current. Keep your login details secure and tell us promptly about any unauthorized use. You are responsible for activity under your account.
You keep all rights in the data you put into the Services ("Your Data"). You give Utiliko permission to host, process, and display Your Data only as needed to provide, secure, and support the Services and as the law requires. You are responsible for having the rights and consents needed for Your Data. Our Privacy Policy explains how we handle personal information.
Some features use AI, for example to help import your clients, leads, and items. AI output can be wrong or incomplete. Review it before you rely on it. You are responsible for decisions you make using the Services. Some sales and support conversations, including demos, are handled by an AI assistant.

We send service messages about your trial or account. We may also send marketing emails, which you can unsubscribe from at any time. If you agreed to receive text messages, you can reply STOP to cancel and HELP for help. Message and data rates may apply.
Utiliko and its licensors own the Services, the Sites, and the Utiliko name and logos. These Terms give you no rights in them except the right to use the Services as allowed here. If you send us feedback or ideas, we may use them without any obligation to you.
The Services may link to or work with third-party sites or services. We are not responsible for them, and their own terms apply.
EXCEPT AS STATED IN A SUBSCRIPTION AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND UTILIKO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. THE SERVICES DO NOT PROVIDE ACCOUNTING, TAX, OR LEGAL ADVICE.
TO THE EXTENT ALLOWED BY LAW, UTILIKO IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. EXCEPT AS STATED IN A SUBSCRIPTION AGREEMENT, UTILIKO'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES YOU PAID UTILIKO IN THE 12 MONTHS BEFORE THE CLAIM.
You will defend and indemnify Utiliko against third-party claims arising from Your Data, your breach of these Terms, or your violation of law.
You may stop using the Services at any time. We may suspend or end your access to the Services, including a trial, at any time. Sections 5, 9, and 11 to 15 survive.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. The state or federal courts in Dallas County, Texas have exclusive jurisdiction over disputes about these Terms or the Services, and you and Utiliko consent to that jurisdiction.
We may update these Terms by posting a new version with a new "Last updated" date. Changes apply from that date. A change to these Terms does not change the price of your current term. Material changes to an active trial or account will be notified as required by law.
