These Self-Serve Subscription Terms, published at https://utiliko.ai/legal-subscription-terms (the "Subscription Terms"), are between you and Utiliko Corporation, a Delaware corporation ("Utiliko," "we," "us"). They apply when you buy a monthly or annual Utiliko plan online, in the Services or on our website (a "Self-Serve Plan"). They add to the Utiliko Terms of Service at https://utiliko.ai/legal-terms (the "Terms"). If these Subscription Terms conflict with the Terms, these Subscription Terms control for your Self-Serve Plan.
Signed agreements. If you sign an order form under Utiliko's Annual Client Subscription Agreement, that agreement and order form govern that subscription instead of these Subscription Terms.
AUTOMATIC RENEWAL: YOUR SELF-SERVE PLAN RENEWS AUTOMATICALLY AT THE END OF EACH MONTHLY OR ANNUAL BILLING PERIOD, FOR THE SAME PERIOD, AND WE CHARGE YOUR SAVED PAYMENT METHOD THE THEN-CURRENT PRICE PLUS TAX UNTIL YOU CANCEL. YOU CAN CANCEL AT ANY TIME BY EMAILING [email protected] OR BY USING ANY CANCEL OPTION IN YOUR ACCOUNT SETTINGS. CANCELLATION TAKES EFFECT AT THE END OF YOUR CURRENT PAID PERIOD.
1.1 Plans. You can choose monthly billing or annual billing. Monthly plans are billed each month in advance. Annual plans are billed as shown at checkout.
1.2 Price per user. Self-Serve Plans are priced per user per month, as shown at checkout before you pay. Checkout shows your plan, billing period, price per user, number of users (including any minimum number of users), the total charged now, and that taxes are extra.
1.3 Your price for the current period. The price shown at checkout applies for your current monthly or annual billing period. Prices are in US dollars.
1.4 Different prices. We may offer different prices, discounts, or promotions at different times or to different customers. A price offered to one account or at one time does not apply to other accounts or other times, except as stated in your account.
2.1 Renewal. Your Self-Serve Plan renews automatically for the same billing period until you cancel.
2.2 Consent. Before you pay, checkout shows these renewal terms next to the payment button, and you agree to them by checking the box or clicking the button there.
2.3 Confirmation. After you subscribe, we email you a confirmation with your plan, price, billing period, renewal terms, and how to cancel.
2.4 Reminders. For annual plans, we email you a reminder 15 to 45 days before each renewal, with the renewal date, price, and how to cancel. For monthly plans, we email you a reminder of your plan terms and how to cancel at least once a year.
3.1 How to cancel. You can cancel at any time by emailing [email protected] or by using any cancel option in your account settings. Cancellation takes effect at the end of your current paid period.
3.2 When it takes effect. Cancellation stops future renewals. You keep access until the end of the billing period you have paid for, and we do not charge you again.
3.3 Confirmation. We confirm every cancellation by email.
4.1 Adding users. If you add users during a billing period, we charge for them, prorated by day for the rest of that period.
4.2 Reducing users. You can reduce users for your next billing period. Reductions do not create a refund or credit for the current period.
4.3 Changing billing period. If you switch from a monthly to an annual plan, we will credit any unused, prepaid monthly time toward your annual fees.
5.1 Billing. Utiliko charges all fees directly through its own billing system. Utiliko partners do not invoice or collect fees for Self-Serve Plans.
5.2 Authorization. You authorize Utiliko to charge your saved payment method for all fees when due, including renewals and added users, until you cancel.
5.3 Failed payments. If a payment fails, we may retry it and may suspend paid features until payment succeeds.
6.1 Length. A trial lasts 14 days unless we tell you otherwise.
6.2 Trials without a payment method. No payment method is required to start a trial. No fees are charged unless you choose a paid plan. If you choose a paid plan, these Subscription Terms apply from then on.
6.3 Changes. We may change, extend, or end a trial, or decline a trial request, at any time.
Cancelling stops future charges but does not refund the current period. Fees are non-refundable except where required by law or stated in your order.
Prices exclude taxes. We add sales, use, and similar taxes where the law requires, based on your billing address, and show them before you pay and on your receipt.
9.1 Notice. We may change prices for future billing periods. We will email you at least 60 days before a price change takes effect at your renewal, and you may cancel before then. Where the law requires, we will also send a reminder 7 to 30 days before the change.
9.2 No change during a period. Your price does not change during a billing period you have paid for, except for users you add.
The Terms apply to everything not covered here, including acceptable use, disclaimers, limitation of liability, and governing law. These Subscription Terms are governed by the laws of the State of Texas, and the state or federal courts in Dallas County, Texas have exclusive jurisdiction over disputes about them. We may update these Subscription Terms by posting a new version with a new "Last updated" date. A change to these Subscription Terms does not change the price of your current billing period.
